Terms & Conditions

Welcome to Xnimations ("Xnimations," "we," "our," or "us"), a brand operated by BlueHub Consultants LLC, registered in the Ajman Free Zone, United Arab Emirates.

These Terms & Conditions ("Terms") govern your access to and use of https://xnimations.com ("Website") and all creative services provided by Xnimations.

By accessing our Website, requesting a quotation, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. About Xnimations

Xnimations is a creative studio specializing in premium visual communication for technology companies and businesses worldwide. Our services include, but are not limited to:

  • SaaS Explainer Videos
  • Product Demo Videos
  • Product Launch Videos
  • Motion Graphics
  • UI Animation
  • Corporate Videos
  • Storyboarding
  • Scriptwriting
  • Voice-over Coordination
  • Video Editing
  • Marketing Videos
  • Animation & Visual Content

Every project is governed by the proposal, quotation, Statement of Work (SOW), or written agreement accepted by both parties.

2. Acceptance of Terms

By using our Website or purchasing our services, you agree to comply with these Terms & Conditions, our Privacy Policy, and any project-specific agreement entered into between you and Xnimations.

3. Client Responsibilities

The Client agrees to:

  • Provide complete and accurate project information.
  • Supply all required materials, including logos, brand guidelines, UI designs, screenshots, technical documentation, scripts, and other project assets.
  • Ensure all submitted materials are owned by the Client or properly licensed for use.
  • Respond promptly to requests for approvals and feedback.
  • Designate a primary point of contact for communication and approvals.

Any delay in providing information or approvals may extend the agreed project timeline.

4. Payment Terms

Unless otherwise agreed in writing, the following payment terms shall apply:

  • A 50% non-refundable deposit is required before production begins. This secures the production schedule and initiates the project.
  • The remaining balance shall be invoiced according to the agreed project milestones or upon project completion and is payable within thirty (30) calendar days from the invoice date.
  • Xnimations reserves the right to suspend work, withhold deliverables, or postpone project timelines if payments become overdue.
  • Overdue invoices may incur a late payment fee of 1% per month, or the maximum amount permitted by applicable law.
  • Any costs associated with international bank transfers shall be borne by the Client.
  • All invoices shall be deemed accepted unless disputed in writing within seven (7) calendar days of receipt.

5. Project Scope

Each quotation or proposal defines the agreed scope of work.

Any request outside the approved scope may require:

  • A revised quotation
  • Additional fees
  • An updated production schedule

Examples include:

  • New scenes
  • Additional animation
  • Additional languages
  • New voice-over recordings
  • Additional deliverables
  • Significant redesigns
  • New features introduced after approval

6. Revisions & Change of Scope

The number of included revision rounds is specified in the approved quotation or Statement of Work. A revision means reasonable modifications that remain consistent with the approved creative direction. Examples of revisions include:

  • Minor text edits
  • Timing adjustments
  • Color refinements
  • Animation improvements
  • Branding refinements
  • Minor visual adjustments

The following constitute changes in scope and are not included as revisions:

  • Requesting an entirely new creative direction.
  • Rewriting the script after approval.
  • Replacing an approved storyboard.
  • Adding new scenes or animation sequences.
  • Introducing additional products or services.
  • Changing branding after production has commenced.
  • Significant changes to messaging or objectives.
  • Requests submitted after final approval.

Changes in scope may require additional fees and revised delivery timelines.

Xnimations reserves the right to determine, acting reasonably and in good faith, whether a request constitutes a revision or a change in scope.

7. Project Delays & Abandonment

Timely communication is essential for efficient project delivery.

The Client agrees to provide approvals, feedback, and requested materials within a reasonable timeframe.

If the Client becomes unresponsive for thirty (30) consecutive calendar days, Xnimations may place the project on hold. If no communication is received for sixty (60) consecutive calendar days, the project may be considered abandoned. In such cases:

  • Delivery dates are no longer guaranteed.
  • Production schedules may be reassigned.
  • Project files may be archived.
  • Outstanding invoices remain payable.
  • A restart or reactivation fee may apply.
  • Additional charges may apply if substantial re-planning is required.

8. Delivery Timelines

Delivery estimates are based upon:

  • Timely client feedback.
  • Timely approvals.
  • Receipt of all required project materials.
  • Payments being made according to schedule.

Estimated delivery dates are not guaranteed and may change due to project revisions, scope changes, or delays caused by the Client.

9. Intellectual Property

Client Materials

The Client retains ownership of all materials supplied to Xnimations, including:

  • Logos
  • Brand assets
  • Product documentation
  • UI designs
  • Screenshots
  • Existing scripts
  • Marketing materials

The Client grants Xnimations a limited license to use these materials solely for completing the agreed project.

Final Deliverables

Ownership of the final approved deliverables transfers to the Client only after full payment has been received.

Source Files

Unless otherwise agreed in writing, editable production files, including project files, animation compositions, design files, and working assets, remain the exclusive property of Xnimations. Only the agreed final deliverables are transferred to the Client.

10. Portfolio Rights

Client confidentiality is respected at all times.

Xnimations will not display the Client's project, logo, company name, or completed video in its portfolio, website, or marketing materials without the Client's prior written permission.

11. Confidentiality

All confidential information shared during the course of a project shall remain confidential. Neither party shall disclose confidential information without prior written consent unless required by law. Upon request, Xnimations is happy to enter into a separate Non-Disclosure Agreement (NDA).

12. Artificial Intelligence (AI)

Xnimations may use AI-assisted tools to support research, brainstorming, scripting, workflow automation, and internal production processes. AI is used solely as a productivity tool to assist our creative team. Final creative decisions, story development, animation, editing, and quality assurance remain under human supervision. Xnimations does not intentionally use confidential client information to train public AI models without the Client's permission.

13. Third-Party Assets

Projects may include licensed third-party assets such as:

  • Stock footage
  • Stock music
  • Sound effects
  • Fonts
  • Illustrations
  • Icons

Ownership and licensing of these assets remain subject to the terms of their respective licensors.

14. Errors, Warranties & Limitation of Liability

Xnimations is committed to delivering high-quality creative work using reasonable skill, care, and professional diligence. While we strive for accuracy, we cannot guarantee that deliverables will be entirely free from errors. Xnimations will correct any significant errors resulting from its own oversight or negligence within the agreed revision period. The Client is responsible for reviewing and approving all deliverables before publication or distribution.

To the fullest extent permitted by law, Xnimations shall not be liable for:

  • Indirect damages
  • Incidental damages
  • Consequential damages
  • Loss of profits
  • Loss of revenue
  • Loss of anticipated savings
  • Loss of goodwill
  • Business interruption
  • Data loss

The Client warrants that all supplied materials, including logos, images, videos, software interfaces, documentation, text, trademarks, and other assets, are owned by the Client or properly licensed. The Client agrees to indemnify and hold Xnimations harmless against any claims arising from materials supplied by the Client.

Xnimations' total liability shall never exceed the amount actually paid by the Client for the specific project giving rise to the claim.

15. Cancellation of Services

The Client may cancel a project at any time by providing written notice.

Upon cancellation, the Client agrees to reimburse Xnimations for:

  • All work completed up to the cancellation date.
  • Time spent on planning, scripting, storyboarding, design, animation, revisions, project management, and other services already performed.
  • Any approved non-cancellable third-party expenses or commitments.

Xnimations will make reasonable efforts to minimize additional costs and deliver completed work corresponding to payments received. The initial project deposit is generally non-refundable, as it compensates for production scheduling, planning, and resources allocated to the project.

16. Force Majeure

Neither party shall be liable for delays or failures caused by circumstances beyond their reasonable control, including but not limited to:

  • Natural disasters
  • Government actions
  • Internet outages
  • Cybersecurity incidents
  • Power failures
  • Pandemics
  • War
  • Civil unrest
  • Labor disputes

17. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the United Arab Emirates. The parties agree to first attempt to resolve any dispute through good-faith negotiations. If a dispute cannot be resolved amicably, it shall be submitted to the competent courts of the United Arab Emirates.

18. Changes to These Terms

Xnimations reserves the right to amend these Terms & Conditions at any time. Any changes shall become effective upon publication on the Website. Continued use of our Website or services after such publication constitutes acceptance of the revised Terms.
